CONTENT CREATOR AGREEMENT AND TERMS OF SERVICE (CCA)

1. Eligibility and Creator Status
1.1. To participate in the monetization program on PRASENI.COM (hereinafter referred to as the "Platform"), you must be over 18 years of age and successfully pass our mandatory identity verification (KYC) and biometric check using a "selfie", available here https://www.praseni.com/settings/verification. You acknowledge and agree that the Operator is entitled to require this verification repeatedly at any time during the contractual relationship (e.g., for regular checks, suspicion of account misuse, or changes in legislation). Refusal to undergo repeated verification is grounds for immediate suspension of payouts and account blocking.

1.2. Membership Requirement: Access to monetization features is strictly tied to an active Membership Package that supports creator tools. If your membership expires, you will not be able to generate new revenue until it is renewed.

1.2.1. Unlimited Package (Lifetime Access): A Creator who has reached a minimum of 100 active paying subscribers in the past 30 days is eligible to request the activation of a special "Unlimited" package for a one-time fee of 3,990 CZK. Activation of this package is not automatic; the creator must contact the platform administrator to set it up and verify compliance with the conditions. This package includes all features of the standard "Gold" package and is valid for the entire existence of the creator's profile (without the need for monthly renewal). The Operator reserves the right to activate this package for selected creators free of charge and without the need to meet the minimum subscriber condition, at its sole discretion (e.g., as a bonus for creators who are a significant asset to the platform).

Warning: Purchasing or receiving the Unlimited package free of charge does not exempt the creator from the obligation to observe the Terms of Use. In the event of permanent account termination (BAN) by the Operator due to a violation of these terms or the Terms of Use, the Unlimited package terminates without compensation, and the paid fee is not refundable.

1.3. Business Status and Account Security: You act as an independent contractor. No employment relationship, agency, or partnership is created by this agreement. The Creator solemnly declares that they possess the relevant business or trade authorization to perform activities under this agreement, if such is required by the legal system of the country where the Creator is a tax resident. The Creator bears full responsibility for the legality of their business. The Creator further undertakes not to provide their login credentials to any third party and to ensure that only they personally access the user account. Sharing profile access or delegating account management to an unverified person is strictly prohibited and is grounds for immediate account termination.

2. Legal Compliance and Record Keeping (18 U.S.C. § 2257)
2.1. You represent and warrant that you maintain professional records of all persons depicted in your content, proving that they were over 18 years of age at the time of content production.

2.2. Co-performers and Tagging Obligation: If the Content depicts any person other than the Creator (hereinafter "Co-performer"), the Creator is entitled to upload and monetize this Content only if the following conditions are met:

a) The Co-performer must be a registered user of the Platform with fully verified identity (completed KYC process) and a duly filled-in permanent residence address.

b) The Creator is obliged to properly tag the Co-performer using their username (function @tagging) when uploading Content. If the Co-performer does not have an active and verified profile on the Platform, uploading such Content is prohibited. The Creator acknowledges and agrees that any financial settlement and remuneration for performing in the Content are solely a matter of agreement between the Creator and the Co-performer. The Operator bears no responsibility for paying remuneration to the Co-performer and does not intervene in potential disputes regarding profit sharing between users.

2.3. Sanctions for Failure to Tag a Co-performer: In the event that it is found that the Creator uploaded or made available Content with a Co-performer without proper tagging (pursuant to point 2.2), the Creator's account will be immediately suspended, and all payouts withheld until the situation is remedied. In such a case, the Creator bears full responsibility for all damages incurred by the Operator and third parties. The Creator expressly agrees that the costs of refunds to affected subscribers and the administrative costs of the Platform associated with resolving this violation will be deducted from their current or future balance.

3. Content Standards and Prohibitions
3.1. Zero Tolerance: It is strictly forbidden to upload content depicting:

Minors or anyone appearing to be under 18 years of age.

Non-consensual sexual content (revenge porn).

Illegal acts, violence, zoophilia, or necrophilia.

3.2. Escort Ban: You must not use the Platform to offer, solicit, or advertise physical sexual services, escort services, or personal meetings for payment. Any mention of external prices for physical services will lead to an immediate permanent ban and forfeiture of all earnings.

3.3. Contractual Penalty for Serious Violation: In the event that the Creator violates the ban on uploading illegal content (point 3.1), the ban on offering escort services (point 3.2), commits payment fraud, or damages the good reputation of the Platform, a contractual penalty is agreed upon. The amount of this contractual penalty corresponds to 25,000 CZK, or an amount equal to the current unpaid balance on the Creator's account at the time the violation is detected, whichever is higher. The Creator expressly agrees that the Operator is entitled to unilaterally set off this contractual penalty against any claim of the Creator for payment of remuneration.

3.4. Prohibition of Payment System Circumvention (Anti-Circumvention)
The Creator undertakes that all payments for digital content and interactions initiated on the Platform will take place exclusively through the Platform's payment methods.
Prohibited Conduct: It is strictly forbidden to publish links to external payment services (e.g., PayPal, Revolut, CashApp, cryptocurrency wallets, Patreon, OnlyFans, etc.) or personal bank accounts in content, private messages (DM), profile descriptions, or comments for the purpose of inducing users to pay outside the Platform.
Sanctions: Violation of this point is considered an attempt to evade the Operator's commission and leads to immediate account termination and forfeiture of the unpaid balance (see point 3.3).

4. Grant of License to Content
4.1. The Creator retains all ownership and copyright to the content. However, by uploading content to the Platform, you grant the Operator a non-exclusive, worldwide, transferable license to host, distribute, display, sell, and market your content within the Platform services.
4.2. This license is necessary for the functioning of monetization and authorizes the Operator to collect payments from users on behalf of the Creator. The license terminates at the moment of permanent removal of the content from the Platform, with the exception of content that users have already legally purchased or to which they acquired the right of access before its deletion.

5. Anti-Piracy Protection and Enforcement
5.1. Authorization for Protection: In the interest of protecting the exclusivity of your content, you grant the Operator authorization (but not the obligation) to act on your behalf in removing unauthorized copies of your content that was originally uploaded to the Platform and subsequently illegally published on third-party sites.
5.2. Limited Power of Attorney: For the purposes stated in point 5.1, you appoint the Operator as your Authorized Agent with the right to submit copyright infringement notices (e.g., DMCA takedown notices).
5.3. Scope and Liability: This service is provided at the discretion of the Operator. The Operator does not guarantee the removal of all illegally distributed content.

6. Revenue Share and Fees
6.1. Revenue Share: Creators receive 85% of the net revenues generated by their content (subscriptions, paid posts, etc.). 
6.2. Platform Fee: The Operator retains 15% as a Platform Fee to cover the costs of hosting, streaming, administration, and bank payment processing.

7. Payouts and Withdrawals
7.1. Automatic Payouts and Minimum Threshold: Creator reward payouts are processed on the Platform automatically. There is no need to submit manual withdrawal requests. The minimum amount for an automatic payout is set at 500 CZK.

7.2. Processing Schedule and Annual Settlement: Processing and sending of earnings always takes place on the first Monday of the calendar month.

Standard Monthly Payout: If your balance on the payout day (the first Monday) is 500 CZK or more, the entire amount will be automatically sent to your bank account. If the balance is lower, it rolls over to the next month.

Mandatory Annual Settlement (December Payout): Regardless of the balance amount, the Operator performs a complete settlement of all accounts once a year (always on the first Monday of December). On this date, any positive balance (even if lower than 500 CZK) will be automatically sent. This annual transaction is free of administrative charges.

7.3. Conditions for Payout and AML Rules (Anti-Money Laundering): For the successful processing of any payout (automatic and annual), the Creator is required to have the following data necessary for AML and tax identification properly filled in the profile settings at https://www.praseni.com/settings/profile/other:

a) Personal Data: Name, Surname, and Permanent Residence Address (street, number, city, postal code, country).

b) Identifiers: Birth Number (Rodné číslo - for CZ/SK citizens) or Date of Birth (for foreigners) and Business ID (IČO - if assigned).

c) Bank Details: Valid bank account number (IBAN/CZ account) held exclusively in the Creator's name (matching the verified identity in the system). The Operator is entitled to request proof of account ownership (e.g., a bank statement showing the owner's name). Without complete filling of these data, the payment cannot be sent.

7.4. Account Closure Exception: If a Creator decides to permanently close their account outside the annual settlement date and their balance is less than 500 CZK, they may request a manual payout. In such a case, an administrative fee of 50 CZK will be deducted. (This fee does not apply to the automatic December payout pursuant to point 7.2).

7.5. Security Hold and Review: The Operator reserves the right to withhold a payout (up to 30 days) in cases of suspicious transactions, the need for identity verification, or suspected fraud.

7.6. Currency and Fees: Payouts are made in CZK currency. Any recipient bank fees or currency conversion costs (for foreign accounts) are borne by the Creator.

7.7. Content Responsibility: You must provide truthful information when creating a subscription plan. If you fail to provide content or renew your membership, you bear responsibility for refunds.

7.8. Subscriber Refunds: You authorize us to indemnify subscribers from your earnings in the event of justified claims.

7.9. Plan Management: You acknowledge that you have full technical control over the management of your subscription plans. It is your duty to manage plans to prevent the sale of services you cannot deliver.

7.10. Prohibition of Funds Hoarding (Anti-Hoarding Policy): The Platform does not serve as a depository for financial funds. The Creator is obliged to provide cooperation so that the remuneration can be paid to them.

Account Suspension: If the Creator fails to fill in bank details or fails to provide other data necessary for payment execution (pursuant to point 7.3) and for this reason, the automatic monthly or annual payout cannot be performed, their account will be immediately suspended (frozen) until the situation is remedied.

Notice and Sanction: The Creator will be called upon to complete the data. If the remedy is not made within 30 days of sending the notice, such conduct is considered a gross breach of contract. In such a case, the balance on the Creator's account is forfeited in favor of the Operator as a contractual penalty for breach of the duty to cooperate and costs associated with maintaining an inactive account. This measure prevents the misuse of the Platform for hiding assets from creditors (e.g., in execution or insolvency).

8. Taxes and DAC7 Reporting
8.1. In accordance with EU Directive 2021/514 (DAC7) and Czech legislation, the Operator is legally obliged to report your identity, residence, and annual income to tax authorities. 8.2. You are solely responsible for reporting and paying all applicable taxes and social contributions (health/social insurance) in your jurisdiction.

9. Account Deletion and Forfeiture of Funds
9.1. Before deleting your account, you must wait for an automatic payout or request a manual payout pursuant to point 7.4. 9.2. After account deletion, all personal data is removed (in accordance with GDPR), and any remaining balance is permanently forfeited and cannot be subsequently claimed.

10. Changes to Terms
10.1. The Operator reserves the right to unilaterally change these Creator Terms at any time.
10.2. We will inform you of material changes (fees, commissions) at least 15 days in advance.
10.3. If you do not agree with the changes, you have the right to terminate the agreement.

11. Service Availability and Technical Outages
11.1. The Operator reserves the right to temporarily limit creator functions due to maintenance, updates, or force majeure.
11.2. The Operator is not liable for lost profits caused by the unavailability of the Platform.

12. Governing Law
This agreement is governed by the laws of the Czech Republic. All disputes will be resolved by the competent courts of the Czech Republic.

13. Final Provisions (Severability Clause)
13.1. Severability: Invalidity of one provision does not affect the validity of the others. 13.2. Interpretation: Article headings are for convenience only.
