TERMS OF USE

1. Introduction
Operator: Avantura s.r.o. Registered Office: Varšavská 715/36, Vinohrady, 120 00 Prague, Czech Republic ID No. (IČO): 21056030 (hereinafter referred to as the "Operator" or "PRASENI.COM")

These Terms of Use (hereinafter referred to as "Terms") govern the rights and obligations between the Operator and the users ("User" or "You"). By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. PRASENI.COM is a Czech platform, and all transactions are processed in the Czech Republic.

2. Eligibility and Protection of Minors
This Site is intended solely for persons over the age of 18. By using this Site, you solemnly declare that you have reached the age of 18 and possess full legal capacity.

Zero Tolerance Policy regarding CSAM: Any content depicting minors will be immediately deleted, the account blocked, and reported to law enforcement authorities (NCMEC, ASACP, or the Police of the Czech Republic).

3. Nature of Service and Escort Ban
PRASENI.COM is a platform serving solely for the sharing of digital content. It is strictly forbidden to use the Platform to offer, solicit, or advertise prostitution, escort services, or any physical sexual services. The Operator is an information society service provider pursuant to Act No. 480/2004 Coll. and does not conduct criminal background checks.

Ban on Off-Platform Payments: The User must not offer or send payments to Creators outside the Platform's official system (e.g., directly to a bank account, via PayPal, etc.). The Platform bears no responsibility for non-delivery of content if the payment was made outside the PRASENI.COM system, and such conduct may lead to the blocking of the Fan's account.

By uploading content to PRASENI.COM, you retain your ownership rights. However, you grant the Operator a worldwide, non-exclusive, royalty-free, and sublicensable license to host, store, use, display, reproduce, and distribute such content solely for the purpose of operating and promoting the Platform. You represent that you own all rights to the content you upload.

4. Payment Terms and Billing
Certain features of the Platform are paid. All prices listed on the Platform are final and include VAT (where applicable).

4.1. Payment Method and Execution Payments on the Platform are realized exclusively via wire transfer (bank transfer) or via QR code. Payments are one-time only (non-recurring). The Platform does not perform any automatic deduction of payments from the User's account. Payment is considered settled at the moment the relevant amount is credited to the Operator's bank account.

4.2. Credits and Their Use Credits represent virtual units within the Platform used to pay for specific services.

Use of Credits: Credits may be used exclusively for:

Payment for the advertising system (promotion of profile/content),

Purchase of Platform Membership packages (PRO/VIP status),

Transfer of credits to other users within the Platform.

Restrictions: Credits cannot be used for direct subscriptions (Creator Membership) to individual Creators, unless stated otherwise.

Non-refundable: Purchased credits are non-refundable and cannot be exchanged back for money (fiat currency) or withdrawn to a bank account. The User acknowledges that they should top up credit only in an amount they realistically intend to consume.

Expiration and Account Termination: In the event of account termination by the User (or by the Operator due to a violation of terms), any unused credit balance is forfeited without compensation.

4.3. Payment Identification For correct identification and matching of the payment, the User is obliged to enter their Registration E-mail into the "Message to recipient" (Zpráva pro příjemce) field. On your bank statement, the outgoing payment will appear in favor of the account/name AVANTURA. The Operator is not responsible for delays in service activation if the User fails to provide these identification details or provides them incorrectly.

4.4. Payment Processing Time All payments are checked and matched manually. The Operator guarantees the crediting of credits or activation of the service within 24 hours from the moment the payment is credited to the Operator's bank account. However, during standard operations, processing and activation usually occur within a few minutes.

4.5. Payment Accumulation In the event that the User makes multiple payments in succession within a short period of time (e.g., repeated scanning of the QR code), these payments are not automatically refunded. All duly identified incoming payments are aggregated, and their total value is credited to the User's virtual wallet.

5. Claims and Cancellation Policy
5.1. Right of Withdrawal In accordance with § 1837 letter l) of the Civil Code, the User expressly agrees that digital content is made available (delivered) immediately after the payment is processed by the Operator. By this consent, the User acknowledges that upon the crediting of credits or activation of the service, they lose the right to withdraw from the contract within the 14-day statutory period without giving a reason.

5.2. Refunds Due to the nature of digital content (which cannot be returned), money is generally not refunded. Exceptions are made only for demonstrable technical errors on the part of the Operator (e.g., duplicate payment sent for a single service). In such a case, please contact support at admin@praseni.com.

5.3. Payment Support All inquiries regarding payments, uncredited credits, or billing are handled exclusively by the Platform's customer support. Contact us via email at admin@praseni.com.

5.4. Fraudulent Activity and Blocking Any attempts to manipulate payments (e.g., sending fake payment confirmations, unauthorized requests for payment cancellation at the bank after the service has been consumed) are considered a serious violation of the Terms. Such behavior will lead to immediate account termination, forfeiture of remaining credit, and permanent banning of the User (Blacklist).

6. Content Moderation
The Operator undertakes to review all reports of illegal content (Abuse Reports) within 24 hours. Prohibited content includes: material without the consent of depicted persons, violence, drugs, or minors. Violations lead to immediate removal and account termination.

7. Biometric Data and 18 U.S.C. § 2257
To ensure compliance with legal regulations, we use age verification systems. Documentation is maintained in accordance with record-keeping requirements pursuant to 18 U.S.C. § 2257 and relevant Czech laws. Data is stored securely and used exclusively for compliance purposes.

8. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Czech Republic. Alternative Dispute Resolution (ADR): Consumers may submit a proposal for resolution to the Czech Trade Inspection Authority, Štěpánská 15, 120 00 Prague 2, Web: adr.coi.cz.

9. Content Creators
Creators are subject to an additional Content Creator Agreement (https://www.praseni.com/static/CCA), which governs revenue share, DAC7 tax reporting, and payout terms.

10. Limitation of Liability
The Site is provided on an "AS IS" basis. The Operator is not liable for any indirect, incidental, or consequential damages, including lost profits, loss of data, or goodwill, arising from your use of the Site. We do not guarantee 100% availability.

11. Advertising and Promotion
Users may create and run advertising campaigns on the Platform to promote their own products or services.

Compliance: All promotional activities must comply with applicable laws and the Platform's Content Guidelines.

Fees: Advertising campaigns are paid services. The specific price is displayed to the User before the campaign starts.

Payment: Fees are automatically deducted from the User's credit balance (Wallet). The User must ensure sufficient credit before launching a campaign.

Moderation: The Operator reserves the right to review, reject, or remove any advertisement that violates these Terms.

12. Indemnification
You agree to indemnify and hold Avantura s.r.o. harmless from any claims, damages, or legal fees arising from your violation of these Terms, violation of any law, or violation of the rights of any third party.

14. Contractual Relationship Between User and Creator and Use of Credits
14.1. Separation of Payment Methods The Platform utilizes two completely separate financial systems. The User acknowledges the following division:

Direct Payment (Bank Transfer / QR): Serves exclusively for the purchase of digital content from Creators. This method is used to pay for:

Monthly Membership with a Creator (Creator Membership).

One-time access to content (PPV - Pay Per View).

Virtual Wallet (Credits): Serves exclusively for payment of Platform services and internal transfers. Credits may be used for:

PRO/VIP Membership (Platform features for uploading, profile boosting, etc.).

Advertising campaigns on the Platform.

Transfer of credits to another user (Gift/Transfer). Important: Credits from the virtual wallet cannot be used to purchase content (Creator Subscription, PPV).

14.2. Parties and License

When Purchasing Content (Direct Payment): The contractual relationship arises directly between the Fan and the Creator. The Fan obtains a license to view the content (either time-limited for membership or permanent for PPV). The Platform acts merely as a technical intermediary for the payment.

When Purchasing Services (Credits): The contractual relationship arises between the User and the Operator of the Platform. The User pays for technical functions (e.g., higher upload limits, ad removal, promotion).

14.3. Credit Transfer Rules Users have the option to transfer their purchased credits to other users. Such a transfer is irreversible. The User acknowledges that transferred credits cannot be withdrawn by the recipient to a bank account (cash-out) nor used to purchase content from Creators. They serve only for internal Platform services.

14.4. Prohibition of Distribution (Copyright) The Fan agrees not to download (unless explicitly allowed by Platform functions), copy, record (screen recording), distribute, or share purchased content (PPV/Membership). Violation leads to permanent account blocking without entitlement to a refund of money or credits.

14.5. Processing and Claims (PPV and Membership) Given that PPV (individual videos) and Creator Memberships are paid via direct bank transfer, the User acknowledges that access to content is subject to manual payment approval (see section 4.4). Content is not made available immediately after sending money, but only after the payment is matched.

14.6. Responsibility The Creator is solely responsible for the delivery and quality of content paid for via direct payment. The Platform is responsible for the functionality of services paid for with credits (PRO/VIP packages).

15. Final Provisions (Severability Clause)
15.1. Severability: If any provision of this agreement is found to be invalid, illegal, or unenforceable by a competent court or authority, this fact shall not affect the validity of the remaining provisions. The remaining parts of the agreement remain in full force and effect. 15.2. Interpretation: Any grammatical errors, typos, or obvious writing mistakes do not affect the validity and binding nature of this agreement if the meaning of the provision is clear from the context. Article headings are for convenience only and do not affect the interpretation of this agreement.
